Services Agreement Playbook Template

Companies often negotiate and enter into services agreements covering professional services, consulting arrangements, engineering, and other activities. Typically, unless the service provider is a large, in-demand provider, the buyer has leverage to change provisions, particularly around payment terms, intellectual property, indemnity, and risk allocation. Service providers will often seek to carve out internal IT tools and technology and limit liability. At the outset, it's typically critical for the parties to understand timeframes, expectations with deliverables, and relative bargaining power to avoid wasted time during the negotiation process.
