Acknowledgment & Exception Letters

A formal letter of exceptions, numbered to the customer's own sections, send-ready or annotated for your approval path.

No redline war

Their paper stays untouched

Marking up a customer’s contract invites a full legal cycle on their side. An acknowledgment letter doesn’t: the document stays exactly as received, and the deal keeps its momentum.

On the record

Numbered, cited exceptions

Each provision you object to is listed once, mapped to the customer’s own section numbers, with the qualification or substitute term that applies instead, not scattered through a markup.

Two flavors

Send-ready or annotated

A clean letter on your letterhead ready for signature, or an internal tracked-changes version with margin notes showing what each exception responds to and who needs to approve it.

How it works

Sometimes the smartest negotiation move is not to redline at all.

Some customers’ contracts can’t be redlined, commercially or practically; signing silently accepts terms you never would. Deals with markup-averse customers stop stalling in redline ping-pong: the business keeps its commitments, legal keeps its protections documented, and a negotiation that would have taken three redline rounds resolves in a single letter.

STEP 01

Upload

Drop in the customer’s contract or order as received. The deal type is classified automatically; you confirm or override in one click.

STEP 02

The agent executes

Parties and terms are extracted, your standard positions mapped to their sections, and the letter drafted: acceptance of the work up top, the clear, numbered exceptions list below.

STEP 03

Work lands back, done

A send-ready .docx on your letterhead, or the annotated internal version routed down the approval path.

Handles your formats

DOCX letters, PDF, letterhead templates, approval annotations

See it in action

Exceptions listed once, clearly

§8 unlimited liability → capped at 12 months’ fees. §11 net-90 → net-45 per your standard terms. On the record, one signature away.

FAQ

Questions, answered.

What is a letter of exceptions in contracting?

A formal letter that accepts the work or order while listing, by section number, the specific terms the accepting party objects to and what applies instead. It puts objections on the record without marking up the customer's document.

When is a letter better than a redline?

When the customer’s paper is practically or commercially un-markable: purchase orders, master terms, take-it-or-leave-it forms. The letter accepts the work while putting your objections formally on the record, without triggering their full legal review cycle.

Where do the exception positions come from?

From your standards: the positions and fallback terms your organization maintains. Each exception cites the customer’s own section number and states what applies instead.

Can we route it through approvals first?

Yes: generate the internal version with margin notes showing what each exception responds to and who needs to approve it, then produce the clean, send-ready letter.
