Contracts & Commercial
Conflicts resolved by precedence, sections renumbered, cross-references repointed: one amended and restated contract, shown as tracked changes.

Every change, applied
Each amendment is read against the original and applied in sequence: sections deleted, inserted, renumbered, and cross-references repointed, all visible as tracked changes you can walk through in Word.
Conflicts resolved
When two amendments touch the same term, the later-dated instrument controls, including “in lieu of” overrides, and the report shows its reasoning for every resolved conflict.
The deal today
A PDF report with the executive summary, amendment timeline, change count, and resolved-conflicts log: the deal as it stands today, on pages anyone can read.
How it works
After two or three amendments, nobody is reading the actual deal anymore; they are reading the original and mentally patching it. What used to be hours of side-by-side cross-referencing becomes a minutes-long, fully auditable job producing a conformed copy of the deal as it stands today, and anyone who touches the deal next inherits a clean, current document.
STEP 01
Drop in the executed original (.docx or .pdf) and one or more signed amendments. Add optional instructions, e.g., “the effective date of Amendment 2 is March 1, 2026.”
STEP 02
The amendment timeline is built chronologically, conflicts are resolved by precedence (including “in lieu of” overrides), and the net effect is applied as one integrated restatement: renumbered, with cross-references repointed.
STEP 03
A restated .docx with tracked changes ready to circulate, plus the Amended Terms Report as PDF; both are stored in your Library.

FAQ
A single document that incorporates the original agreement and every executed amendment: the deal as it actually reads today. Amendment & Restate produces one automatically, with every change visible as a tracked change and every conflict resolution logged.
An amended and restated agreement replaces the original and all prior amendments with one integrated document. Instead of drafting it by hand, upload the original and the amendments; the restatement comes back with tracked changes and an Amended Terms Report.
An amendment changes specific terms and lives alongside the original; a restatement integrates everything into one current document. After the second or third amendment, restating is usually cheaper than making every future reader assemble the deal mentally.
By precedence: when two amendments touch the same term, the later-dated instrument controls, and “in lieu of” overrides are honored. Every resolution is logged in the report with its reasoning; nothing is silently decided.
Yes. Sections deleted or inserted by amendments are renumbered in the restatement, and internal cross-references are repointed to match, shown as tracked changes so your review is a walk-through, not a hunt.
Word and PDF for the original and the amendments. The restated contract comes back as a .docx with tracked changes; the Amended Terms Report comes back as a PDF.
